Tracy Barrett
SENIOR COUNSEL
Tracy Barrett is Senior Counsel at Quadrant Law Group, where she advises clients on commercial transactions, SaaS and cloud services, data privacy, and artificial intelligence governance. She partners with clients to negotiate and structure complex commercial and technology transactions, helping organizations manage risk, leverage emerging technologies, and achieve strategic business objectives.
Tracy brings more than twenty-five years of experience advising clients on complex technology and commercial transactions and strategic business initiatives. Her practice focuses on structuring and negotiating complex technology and commercial transactions, with deep experience in SaaS and cloud services, software licensing, data processing, and enterprise commercial agreements. She also advises clients on legal issues related to artificial intelligence, data privacy, cybersecurity, and the evolving risks and opportunities presented by emerging technologies.
Prior to joining Quadrant, Tracy served as Commercial Contracts Counsel in Vanguard's Office of General Counsel, where she led legal negotiations for SaaS, cloud, and technology agreements and advised on AI governance and vendor risk. Before joining Vanguard, she served as Director of Technology Sourcing and Commercial Transactions at Cohesity, where she advised on and negotiated complex cloud services, software licensing, and enterprise technology transactions, partnering with business and technology leaders to support innovation, operational excellence, and strategic growth initiatives.
Earlier in her career, Tracy spent more than eleven years at Symantec Corporation, where she led global technology and commercial transactions involving software licensing, telecommunications, cloud services, and outsourcing arrangements. She also supported mergers and acquisitions through legal due diligence and contract review.
Tracy is admitted to practice law in California, New Jersey, and Massachusetts. She earned her J.D., cum laude, from Suffolk University Law School, where she served as a Senior Research Associate and participated in the Student Volunteer Public Defender Program. She received her B.A., magna cum laude and Phi Beta Kappa, from Boston University, with degrees in Political Science and Philosophy.
Tracy resides in Northern California and enjoys reading, traveling, fitness and wellness, and exploring the vibrant arts and cultural communities of the Bay Area and Mendocino County.
