Toby Kovalivker
Toby has been licensed to practice law in the State of California since 2004. She has broad experience in both a law firm setting, and as in house counsel. Her practice is focused on negotiating technology agreements with an emphasis on intellectual property, procurement, software licensing, software as a service and data privacy issues.
Toby began her career in litigation where she represented financial institutions and mortgage lenders in state and federal court. She managed a heavy caseload handling all aspects of litigation relating to creditor’s rights, including security interests in real property, adversary proceedings, post-judgment collection efforts, judicial and non-judicial foreclosure proceedings, civil and criminal forfeiture actions, eminent domain actions and post-foreclosure unlawful detainer actions.
In 2014, Toby transitioned away from litigation to focus on commercial transactions. Since then, she has supported various corporate legal departments and Fortune 500 companies with the negotiation of complex technology agreements, and has designed, implemented and maintained contract templates, negotiation playbooks and contract management software platforms. Toby has gained extensive experience advising her clients on process improvements, automated workflow solutions, governance issues, data privacy issues and compliance. Most recently, Toby was the sole in house attorney at a growing software as a service company.
Toby enjoys leveraging her experience to help her clients manage risk, avoid exposure and achieve the best possible outcomes during contract negotiations. She is passionate about promoting progress in the legal field by using legal operations solutions, contract analytics and technology tools.
Toby graduated Magna Cum Laude from the California Western School of Law, where she was a member of the Executive Board of the Law Review and served as the Associate Editor of Notes & Comments. She lives in the North Park neighborhood of San Diego with her husband, two children and three beloved dogs. In her spare time, Toby enjoys watching her son fly a glider plane, watching her daughter perform circus acts with aerial silks, traveling to attend live music performances, and reveling in the San Diego sunsets.
